Terms of Service

These Terms of Service ("Terms") are an agreement between you and Casaway Capital, LLC, doing business as Dental Document ("Casaway", "we", "us"), which operates Aster AI. They cover the website at asterdentalai.com, the application at app.asterdentalai.com, the waitlist, and every related feature (together, the "Services"). By joining the waitlist, creating an account, or using the Services, you agree to these Terms. If you are using the Services for a practice or company, you agree on its behalf and confirm you have the authority to do so. If you do not agree, do not use the Services.

Aster AI is financial analysis and decision-support software for dentists and dental practices. It organizes financial information, computes metrics, models scenarios, prepares briefings and reports, and suggests actions for you to consider.

Aster AI is not a certified public accountant, an attorney, a fiduciary, a broker, a lender, a registered investment adviser, or a practice broker, and neither is Casaway. The Services do not provide accounting, tax, legal, investment, lending, insurance, or valuation advice or opinions. Valuations, deal analyses, readiness scores, forecasts, and "what the numbers support" figures are estimates produced by models from the information available to them. They are not appraisals, offers, commitments to lend, or guarantees of any outcome.

You are responsible for your decisions. Before you buy, sell, finance, or start a practice, sign an employment or partnership agreement, change insurance participation, hire, make a major purchase, or file anything with a tax authority, consult qualified professionals who know your situation.

You must be at least 18 years old and able to form a binding contract. Keep your sign-in credentials confidential, give us accurate information, and tell us promptly at contact@asterdentalai.com if you believe your account has been accessed without permission. You are responsible for activity under your account and for the people you invite into your organization, including the role and access you give them.

Your content. You keep ownership of the information you enter, upload, or connect, including accounting data, practice totals, documents, and your own financial inputs ("Your Content"). You give Casaway a limited license to host, process, and display Your Content only to provide, secure, support, and improve the Services for you.

Connected accounts. If you connect a third-party account such as QuickBooks Online, a bank feed, or the Dental Document practice management connector, you authorize us to retrieve and process data from that account on your behalf, and you confirm you have the right to grant that access. Those services are governed by their own terms. We are not responsible for their availability, accuracy, or changes.

Writing to your books. Aster AI does not change your accounting records unless you approve the specific change first. Aster AI does not write to your practice management system.

Documents that belong to others. If you upload documents you received from a seller, broker, lender, employer, or anyone else, you confirm that you are permitted to do so, including under any confidentiality or non-disclosure agreement you signed. You are responsible for honoring those agreements.

Patient information. Aster AI is designed to work without patient records. Do not upload patient charts, treatment records, or other documents that identify patients. Where account-level worklists are available, they are delivered directly to your browser by the Dental Document connector under your separate Dental Document agreements, and Aster AI does not receive or store those rows.

Figures in Aster AI are computed by software from the sources you provide. They are not written by a language model. Each figure is labeled with its evidence: verified at source, documents agree, from one document, or your input. Written explanations and recommendations are generated with the help of AI models and may be incomplete or wrong. A figure is only as good as its source. If a source is wrong, late, miscategorized, or missing, the result will be too. Review results before you rely on them.

You agree not to:

  • use the Services to break the law or to violate anyone's rights, including confidentiality and privacy rights;
  • upload malicious code, or probe, scan, or test the Services for vulnerabilities without our written permission;
  • access another customer's data, or attempt to get around security or access controls;
  • copy, resell, sublicense, or reverse engineer the Services, or use them to build a competing product;
  • use automated means to extract data from the Services, other than your own data through features we provide;
  • misrepresent who you are, or use the Services to mislead a buyer, seller, lender, insurer, or tax authority.

Joining the waitlist does not guarantee access, a launch date, a price, or a feature. We may offer features marked preview, beta, or early access. Those features may change or end at any time, may be less reliable than the rest of the Services, and are provided as is.

The waitlist is free. When paid plans are offered, the price, billing period, renewal, and cancellation terms will be shown to you before you are charged, and those terms will become part of this agreement.

The Services, including software, models, metric definitions, report formats, designs, text, and the Aster AI name and logo, belong to Casaway and its licensors and are protected by law. We grant you a limited, revocable, non-transferable right to use the Services for your own internal business and personal career purposes while these Terms are in effect. If you send us suggestions, you allow us to use them without restriction or payment.

We may use information that has been aggregated and de-identified, so that it cannot reasonably be linked to you or your practice, to operate, measure, and improve the Services. Any feature that compares your practice with other practices will use only aggregated data and will be offered on an opt-in basis.

Our Privacy Policy at asterdentalai.com/privacy explains what we collect and how we use it. It is part of these Terms.

You may stop using the Services at any time and may ask us to delete your account at contact@asterdentalai.com. We may suspend or end your access if you breach these Terms, if your use creates risk for us or for others, or if we discontinue the Services. When your account ends, your right to use the Services ends. Sections 1, 3, 4, 8, and 11 through 15 continue to apply.

The Services are provided "as is" and "as available". To the fullest extent permitted by law, Casaway disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, that any figure, forecast, valuation, score, or recommendation will be accurate or complete, or that any decision you make with the help of the Services will produce a particular result.

To the fullest extent permitted by law, Casaway and its owners, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost savings, lost data, lost business opportunity, or the cost of substitute services, arising out of or relating to the Services or these Terms, even if advised of the possibility. Our total liability for all claims relating to the Services or these Terms will not exceed the greater of the amount you paid us for the Services in the twelve months before the event giving rise to the claim, or one hundred US dollars. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You agree to defend, indemnify, and hold harmless Casaway and its owners, officers, and employees from claims, damages, and costs, including reasonable attorneys' fees, arising from Your Content, your use of the Services in violation of these Terms or the law, or your violation of a third party's rights, including confidentiality obligations you owe to others.

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. You and Casaway agree that any dispute relating to the Services or these Terms will be brought in the state or federal courts located in Texas, and each of us consents to the jurisdiction of those courts. Before filing a claim, each of us agrees to try to resolve the dispute informally by writing to the other and allowing thirty days for a response. Notices to us go to contact@asterdentalai.com.

We may update these Terms. If a change is material, we will give reasonable notice by email or in the Services before it takes effect. Continuing to use the Services after the effective date means you accept the updated Terms. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. These Terms and the Privacy Policy are the entire agreement between you and Casaway about the Services.
